Terms and Conditions

1. Acceptance of Terms

By downloading, accessing, registering for, or using the TeamNexo mobile application (the "App"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions ("Terms"), as well as our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the App.

Your continued use of the App constitutes your acceptance of these Terms and any future modifications. We reserve the right to update or revise these Terms at any time. Material changes will be communicated through the App or other appropriate means. Continued use following such updates constitutes acceptance of the revised Terms.

2. Eligibility

The App is intended for use by adults involved in youth sports management.

• Users must be at least eighteen (18) years old to create an account.
• Individuals under 18 are not permitted to independently register for or create accounts.
• Parents or legal guardians are solely responsible for any personal information relating to minors that is submitted through the App.
• By submitting information regarding a minor, you represent and warrant that you have the legal authority to provide such information and to consent to its processing.
• Users further represent that all information uploaded or shared through the App is provided in compliance with applicable laws, including privacy and child protection laws.

We reserve the right to request verification of age or parental authority where reasonably necessary.

3. Account Registration and Security

To access certain features of the App, users must create an account.

By registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update account information as necessary
• Maintain the confidentiality of your login credentials
• Accept full responsibility for all activities that occur under your account

You are responsible for safeguarding your password and for any actions taken using your account credentials. If you suspect unauthorized access, misuse, or a security breach involving your account, you must notify us immediately at support@teamnexo.app.

If you use a phone number with the App, you acknowledge that TeamNexo may send transactional SMS messages needed to operate the service, including verification codes and team invitations. These messages are service-related and not marketing or promotional messages.

We reserve the right, at our sole discretion, to suspend, restrict, or terminate accounts that:

• Violate these Terms
• Provide false or misleading information
• Engage in unlawful or abusive conduct
• Present security or operational risks

Termination of an account does not relieve users of obligations incurred prior to termination.

4. User-Generated Content

The App allows users to upload, submit, transmit, or share content, including but not limited to:

• Photographs
• Team rosters
• Event schedules
• Participation forms
• Game-related materials
• Other documents or media ("User Content")

License Grant

By uploading or submitting User Content, you grant JD Consultit a limited, non-exclusive, royalty-free, revocable license to host, store, reproduce, display, and process such content solely for the purpose of operating, maintaining, and improving the App and its functionality.

This license does not transfer ownership of your content to JD Consultit. You retain all rights to your User Content, subject to the license granted herein.

User Representations and Warranties

By submitting User Content, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions to upload and share the content.
• You have obtained verifiable parental or legal guardian consent for any minor appearing in photographs or referenced in uploaded materials.
• The content does not violate any applicable law, including privacy, child protection, intellectual property, or defamation laws.
• The content does not infringe upon the rights of any third party.

You are solely responsible for the accuracy, legality, and appropriateness of all User Content you upload.

Content Moderation and Removal

We reserve the right, but are not obligated, to review, monitor, remove, restrict, or disable access to User Content that:

• Violates these Terms
• Is unlawful, harmful, or abusive
• Infringes intellectual property or privacy rights
• Poses a safety or security risk

Removal of content does not waive any legal rights or remedies available to JD Consultit.

5. Prohibited Conduct

You agree not to use the App for any unlawful, harmful, or unauthorized purpose. Prohibited conduct includes, but is not limited to:

• Using the App in violation of any applicable local, state, national, or international law
• Uploading defamatory, abusive, harassing, threatening, obscene, or otherwise unlawful content
• Uploading content that infringes intellectual property or privacy rights
• Uploading content without required parental consent
• Attempting to gain unauthorized access to accounts, systems, or data
• Interfering with, disrupting, or damaging the App's servers, infrastructure, or functionality
• Introducing viruses, malware, or harmful code
• Scraping, harvesting, or collecting personal information of other users without authorization
• Using automated systems or bots to access the App

Any violation of this section may result in suspension or termination of your account and may expose you to civil or criminal liability.

We reserve the right to investigate suspected violations and cooperate with law enforcement authorities as necessary.

6. Intellectual Property

All rights, title, and interest in and to the TeamNexo App, including but not limited to its software, source code, design, structure, layout, functionality, features, trademarks, service marks, logos, branding elements, graphics, text, and other proprietary materials (collectively, the "Platform Materials"), are and shall remain the exclusive property of JD Consultit or its licensors.

The App is protected by applicable intellectual property laws, including copyright, trademark, trade secret, and other proprietary rights.

Subject to your compliance with these Terms, JD Consultit grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for its intended purpose of managing sports teams and related activities.

You may not:

• Copy, reproduce, distribute, modify, or create derivative works of the App
• Reverse engineer, decompile, or attempt to extract source code
• Use any trademarks or branding without prior written consent
• Exploit the App or Platform Materials for commercial purposes outside the intended use

No ownership rights are transferred to users under these Terms.

7. Disclaimer of Warranties

The App and all related services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, JD Consultit disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation

We do not warrant that:

• The App will always be secure, available, or free from defects
• Uploaded content will not be lost or corrupted
• Security breaches will never occur
• The App will meet all user expectations

Users assume full responsibility for their use of the App.

8. Limitation of Liability

To the maximum extent permitted by applicable law, JD Consultit, its owners, officers, employees, affiliates, and service providers shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, or business opportunities
• Loss, corruption, or unauthorized disclosure of data
• Service interruptions or downtime
• Damages resulting from user-generated content
• Damages arising from unauthorized access to user accounts

This limitation applies whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory.

In all cases, JD Consultit's total cumulative liability arising out of or relating to the use of the App shall not exceed the greater of:

• The total amount paid by the user (if any) in the twelve (12) months preceding the claim
• One hundred U.S. dollars (USD $100), where no payment has been made

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, liability shall be limited to the fullest extent permitted by law.

9. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless JD Consultit, its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use or misuse of the App
• Your User-Generated Content, including photos or documents uploaded to the App
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights, including intellectual property, privacy, or publicity rights
• Any claim relating to the unauthorized or improper submission of minor information
• Your failure to obtain required parental or legal guardian consent

JD Consultit reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully in the defense of such claims.

This indemnification obligation shall survive termination of your account or use of the App.

10. Termination

We reserve the right, at our sole discretion, to suspend, restrict, disable, or terminate your account and access to the App at any time and without prior notice if we determine that you:

• Have violated these Terms or any related policies
• Have engaged in unlawful, fraudulent, abusive, or harmful conduct
• Have uploaded content without proper authority or required consent
• Present a security, legal, or operational risk to the App or its users

We may also remove or restrict access to User Content that violates these Terms.

Termination may result in the deletion of your account and associated data, subject to our legal retention obligations.

We shall not be liable to you or any third party for suspension, restriction, or termination of access resulting from violations of these Terms.

The provisions of these Terms that by their nature should survive termination (including indemnification, limitation of liability, intellectual property, and dispute resolution provisions) shall remain in effect following termination.

Voluntary Account Deletion

Users may voluntarily delete their account at any time through the Settings section of the App or by contacting support@teamnexo.app. Account deletion is subject to applicable data retention obligations as outlined in the Privacy Policy.

11. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to the TeamNexo App or these Terms shall be governed by and construed in accordance with the laws of Puerto Rico and applicable United States federal law, without regard to conflict-of-law principles.

Mandatory Arbitration

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or the use of the App shall be resolved exclusively through final and binding arbitration rather than in court.

Arbitration shall:

• Be conducted on an individual basis
• Be administered by a recognized arbitration provider
• Take place in Puerto Rico (or remotely, if agreed)
• Be conducted in English
• Be governed by the Federal Arbitration Act (FAA), where applicable

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration provision.

Class Action Waiver

To the fullest extent permitted by law, you agree that any arbitration or legal proceeding shall be conducted solely on an individual basis and not as part of a class, consolidated, collective, or representative action.

You expressly waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions

Nothing in this section prevents either party from:

• Seeking injunctive or equitable relief in a court of competent jurisdiction
• Bringing an individual claim in small claims court, where permitted

If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain in full force and effect.
